Terms of Service

1. About these terms

These Terms of Service describe access to the ShortPay website, checkout interface, payment APIs and related billing tools (the Services). ShortPay is the service name. The legal operator and its contact details must be identified before these Terms are published as an effective agreement. A separate signed merchant agreement, where applicable, governs commercial pricing and the provision of services to that merchant.

2. Our role and your purchase

ShortPay provides technology used by merchants to initiate and track payments, manage billing and subscriptions, and communicate payment results. Payment processing also involves independent payment providers, financial institutions and card networks. ShortPay does not sell the goods or services described in a merchant’s checkout merely because its name appears on that checkout. The merchant is responsible for product descriptions, prices, taxes, delivery, account access, product support and its refund policy. A payment confirmation does not itself establish that the merchant has delivered your purchase.

3. Eligibility and authority

Use the Services only if you can lawfully enter into the relevant transaction and are authorized to use the payment method you provide. If you act for a business, you must have authority to act for that business. Merchant access requires authorization from ShortPay; the availability of an API or public page does not constitute approval to process payments. Keep customer, business and billing information accurate and promptly correct material errors.

4. Payments and authentication

Review the merchant name, product, amount, currency and billing frequency before submitting a payment. By submitting a payment instruction, you authorize processing of the transaction as presented to you. A payment provider or your financial institution may require additional authentication, decline the transaction or delay confirmation. Exchange rates and charges imposed by your bank or payment provider may differ from the amount displayed by the merchant. If a result is pending or unclear, check the transaction status or contact the merchant before submitting another payment.

5. Subscriptions and saved payment methods

A subscription may authorize recurring charges according to the price, billing interval and other terms disclosed by the merchant when you subscribe. Payment credentials or provider-issued references may be retained to carry out authorized renewals. The merchant must obtain any consent and provide any notices required by law. Use the cancellation method offered by the merchant, or contact its support team to cancel renewal. The effective cancellation date and continued access depend on the disclosed subscription terms and applicable law. Cancellation does not automatically refund earlier charges; a refund does not automatically cancel future renewals. Failed renewals may be retried subject to the applicable authorization and payment-provider rules.

6. Refunds, errors and disputes

Contact the merchant for product issues, refund requests or subscription changes. Refund eligibility is governed by the merchant’s disclosed policy and applicable law. A submitted refund request is not a completed refund; timing depends on approval, processing and the receiving financial institution. Report suspected unauthorized transactions promptly to your payment provider or bank and notify the merchant. These Terms do not restrict statutory refund rights or lawful rights to dispute a charge.

7. Merchant responsibilities

Merchants must lawfully offer their products, obtain transaction and recurring-payment authorizations, provide accurate checkout information and publish their own terms, privacy notice and refund or cancellation policy. Merchants are responsible for fulfilling purchases and reconciling payment events with their own records. They must safeguard credentials, limit access to authorized personnel and validate payment notifications before granting entitlements. Commercial fees, settlement arrangements, reserves and other financial obligations are governed by separately agreed terms; this page does not promise any settlement schedule or financial service.

8. Prohibited use

Do not use the Services for fraud, unauthorized charges, money laundering, unlawful products, sanctions evasion or other illegal conduct. Do not test stolen payment methods, misrepresent a transaction, conceal the actual seller, compromise credentials, access another person’s records or bypass technical safeguards. Do not interfere with availability or attempt to extract non-public data. Merchants must comply with applicable payment-provider and card-network restrictions communicated to them. Access to a feature does not establish approval for a restricted activity.

9. Privacy and security

Our Privacy Policy describes the information handled in connection with the Services. Merchants and payment providers may also have their own privacy notices. Use secure channels for support and never send card security codes, passwords or secret API keys in ordinary messages. Notify your merchant or authorized ShortPay business contact if you suspect misuse of checkout access or account credentials.

10. Technology and intellectual property

ShortPay and its licensors retain their rights in the Services and associated software, branding and documentation. Authorized users may use the interfaces and documentation for their intended purpose, subject to applicable agreements. No ownership of ShortPay technology transfers to you. You retain your rights in information you provide and must have the rights necessary for its lawful processing to supply the Services.

11. Availability, suspension and termination

Services may be unavailable during maintenance, network failures or interruptions affecting payment providers. Features and supported payment methods may change. Access may be restricted where reasonably necessary to address fraud, security incidents, unlawful use or provider requirements. Where required by law or an applicable agreement, notice will be provided. Ending access does not erase completed transactions or eliminate existing obligations, lawful record-retention requirements or rights relating to earlier payments.

12. Disclaimers and responsibility

To the extent permitted by applicable law, the Services are provided on an as-available basis without a promise of uninterrupted operation, universal payment acceptance or error-free third-party systems. ShortPay does not warrant the quality or delivery of a merchant’s products. Nothing in these Terms excludes responsibilities or remedies that cannot lawfully be excluded, including applicable consumer protections. Any additional allocation of liability for business services must be set out in the applicable merchant agreement.

13. Applicable law and resolving concerns

Mandatory laws and consumer protections applicable to your transaction continue to apply. This draft does not designate a governing jurisdiction, impose arbitration or waive collective remedies. The applicable operator, governing-law provisions and any business dispute procedure require review before publication. Please raise purchase-related concerns with the merchant first; you remain free to contact your bank, a regulator or a competent court where permitted by law.

14. Changes and contact

Revised terms will identify their revision date. Material changes will be communicated where required by law; changes will not remove rights that already arose under mandatory law. For purchases, refunds and cancellation requests, use the merchant contact shown on its website or purchase confirmation. ShortPay’s own legal operator, postal address and legal contact channel must be supplied before this draft takes effect.
